Terms and Conditions of Use

1. Introduction and Agreement

These Terms and Conditions ("Terms") constitute a binding legal agreement between You (the "User") and Georgi Barnev, a physical person operating under the trade name StocksHeat ("we," "us," or "our").

By downloading, accessing, or subscribing to the StocksHeat web application (the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information in connection with your access to and use of the Service is described in our Privacy Policy.

By using the Service, you acknowledge that your personal data will be processed in accordance with our Privacy Policy and applicable data protection laws (including the GDPR).

3. Critical Disclaimer: No Financial Advice

3.1. Informational Purpose Only: StocksHeat is strictly a data aggregation and analytics tool. It uses artificial intelligence to summarize social media sentiment and provides market data for educational and entertainment purposes only.

3.2. Not a Broker or Advisor: We are NOT a registered investment advisor, broker-dealer, financial analyst, or bank. Nothing in the Service constitutes financial, legal, investment, or tax advice.

3.3. No Recommendations: We do not recommend buying, selling, or holding any security. The "Heatmaps," "Alerts," and "Trending" lists are generated automatically by algorithms based on social popularity, which is not an indicator of future stock performance.

3.4. High Risk Warning: Trading financial instruments involves a high degree of risk and may result in the loss of your entire capital. You agree that any investment decisions you make are based solely on your own independent research and risk tolerance.

4. Data Accuracy and AI Limitations

4.1. Artificial Intelligence: The Service uses AI to interpret text from platforms like Reddit. You acknowledge that AI is prone to errors ("hallucinations") and may misinterpret sarcasm, slang, or context. We do not guarantee the accuracy of sentiment analysis.

4.2. Third-Party Data: We source market data from third-party providers. This data is provided for informational purposes. Stock price data may be delayed (typically by 15 minutes or more) and may contain errors.

4.3. Service Availability: We depend on third-party APIs. If these third parties restrict access, the Service may be temporarily or permanently impaired.

5. Subscriptions and Billing

5.1. Subscription Plans: The Service offers subscription-based access. Prices are displayed in the app and include VAT where applicable.

5.2. Payment Processing: Payments are processed by third-party merchants of record (e.g., Stripe). We do not store your credit card details.

5.3. Automatic Renewal: Your subscription will automatically renew unless you cancel it at least 24 hours before the expiry date via your account settings.

5.4. WAIVER OF RIGHT OF WITHDRAWAL (EU CONSUMERS):

Pursuant to Article 57 of the Bulgarian Consumer Protection Act and EU Directive 2011/83/EU:

By purchasing a subscription, you expressly request that the supply of digital content begins immediately. YOU ACKNOWLEDGE AND AGREE THAT BY GIVING YOUR CONSENT FOR THE IMMEDIATE PERFORMANCE OF THE CONTRACT, YOU LOSE YOUR RIGHT OF WITHDRAWAL (THE 14-DAY COOLING-OFF PERIOD) ONCE THE DOWNLOAD OR ACCESS TO THE CONTENT HAS BEGUN.

6. Intellectual Property

6.1. Ownership: The StocksHeat source code, design, algorithms, logo, and heatmaps are the intellectual property of the Operator.

6.2. Restrictions: You are granted a limited, non-exclusive license to use the app for personal use. You may not:

• •Scrape, copy, or redistribute the data provided by the Service.
• •Reverse engineer or decompile the application.
• •Use the Service to build a competing product.

7. Limitation of Liability and Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW (INCLUDING THE BULGARIAN CONSUMER PROTECTION ACT AND EU DIRECTIVE 2019/770):

7.1. Statutory Conformity: If you are an EU consumer, you are entitled to a statutory guarantee of conformity for digital content and services. Nothing in these Terms limits your statutory rights to have the Service conform to the contract.

7.2. Disclaimer: SUBJECT TO SECTION 7.1, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

7.3. Exclusions: WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING TRADING LOSSES).

7.4. Liability Cap: OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

7.5. Gross Negligence: Nothing in these Terms shall limit or exclude our liability for death, personal injury, fraud, fraudulent misrepresentation, or gross negligence.

8. User Conduct and Termination

We reserve the right to terminate or suspend your access to the Service immediately if you breach these Terms (e.g., hacking, scraping, or illegal market manipulation).

9. Governing Law and Dispute Resolution

9.1. Governing Law: These Terms shall be governed by the laws of the Republic of Bulgaria.

9.2. Mandatory Consumer Protection: If you are a consumer resident in the European Union, you also enjoy the protection of the mandatory provisions of the law of the country where you reside.

9.3. Jurisdiction: Any dispute shall be subject to the jurisdiction of the competent courts in Plovdiv, Bulgaria.

9.4. ODR: If you are an EU consumer, you may use the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr.

10. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via an in-app notification or email at least 14 days prior to the changes taking effect. Continued use of the Service after such changes constitutes your acceptance of the new Terms.
